We’ll be looking for you to provide support to the Corporate Governance Group on both domestic and international matters in the form of (i) subsidiary management, including annual reports, maintaining corporate and subsidiary records and creation of organizational charts through an online solution, (ii) responding to various internal requests for corporate information, including regulatory exam documentation, internal audit requests, treasury requests, (iii) supporting M&A efforts such as due diligence, NDAs, and project management from time-to-time, (iv) supporting various securities and treasury matters as needed, including banking agreements and NDAs and with respect to quarterly and annual reports, the annual proxy statement, Section 16 compliance, and public debt offerings and (v) reviewing and revising other standard legal documents
For such a detail-driven role, you will possess a minimum of 5 years experience in a paralegal capacity, preferably within a corporate environment, along with a Bachelor’s degree from an accredited school and an approved paralegal certificate. You will have demonstrated experience describing basic legal concepts in clear and understandable language to internal clients, as well as conducting legal research and fact gathering, with a strong analytical background. You will also possess the ability to build and maintain strong working relationships with internal and external clients and act as a liaison between business units and outside counsel.
